Actions Requiring. Lead Borrower's Consent and further provided that no provision of any Article listed in Section 16.9(a) that (i) obligates any of the Agents to exercise reasonable, good faith discretion, or (ii) imposes liability on any Person for acting in a grossly negligent manner, in actual bad faith or willful misconduct, or (iii) imposes any confidentiality obligation under this Agreement on any Person, may be amended without the consent of the Lead Borrower.
