Actions, Suits, etc. There shall exist no pending actions, suits, arbitrations, claims, attachments, proceedings, assignments for the benefit of creditors, insolvency, bankruptcy, reorganization or other proceedings, actually filed against Seller that would (i) prevent Seller from performing its obligations under this Agreement, or (ii) materially and adversely affect the operation or value of the Property.
