Without the prior written consent of the Administrative Agent (which consent shall not be unreasonably withheld), modify, amend, cancel or rescind the Intercompany Loans or Intercompany Loan Documents, or any agreements or documents evidencing or governing Subordinated Debt or the senior Indebtedness permitted pursuant to Section 8.01 hereof (except that a loan between Consolidated Companies as permitted by Section 8.01 may be modified or amended so long as it otherwise satisfies the requirements of Section 8.01), or make demand of payment or accept payment on any Intercompany Loans permitted by Section 8.01, except that current interest accrued thereon as of the date of this Agreement and all interest subsequently accruing thereon (whether or not paid currently) may be paid unless a Default or Event of Default has occurred and is continuing.
