Actions with Respect to Transferred Interests. From the date this Agreement is executed and delivered by Assignor to Assignee to the earlier to occur of (i) the termination of this Agreement pursuant to Section 15 hereof or (ii) the Effective Time with respect to a Transferred Interest, except as otherwise expressly required or permitted by this Agreement, Assignor shall not and shall not direct the Owner Trustee to, without the prior written consent of Assignee:
