The Active Committee clause defines the establishment and operation of a designated group responsible for overseeing specific aspects of an agreement or project. This clause typically outlines the committee's composition, decision-making authority, and procedures for meetings and voting. For example, it may specify how members are appointed, the frequency of meetings, and the scope of issues the committee can address. Its core function is to ensure ongoing, collaborative management and decision-making, thereby facilitating effective oversight and timely resolution of matters arising during the course of the agreement.
Active Committee. Only Active Committees may convene meetings or make decisions via electronic ballot. Committees will be considered Active if (1) there are at least three Council members with active status on the Committee, (2) the Committee has a Council-approved Committee Charter in effect, and (3) the Committee has a Chair present to preside over its activities. ● Committee Meetings. Committees are expected to meet at least once between Council meetings (“Committee Meetings”). The Chair(s) shall provide at least thirty (30) days’ notice to each Delegate for Committee Meetings conducted in person, or at least seven (7) days’ notice for Committee Meetings conducted telephonically. For the avoidance of doubt, any notice of a recurring meeting schedule shall suffice as notice for all meetings in that recurring schedule.
