Common use of Actively Traded Security Clause in Contracts

Actively Traded Security. The Common Shares shall meet the definition of an “actively-traded security” excepted from the requirements of Rule 101 of Regulation M under the Exchange Act by subsection (c)(1) of such rule. The Company will furnish the Manager with such conformed copies of such opinions, certificates, letters and documents as the Manager reasonably requests. The Manager may in its sole discretion waive compliance with any conditions to the obligations of the Manager hereunder.

The Manager or the Forward Purchaser, as applicable, may in its their respective sole discretion waive compliance with any conditions to the obligations of the Manager hereunder.
