ACTIVITIES OF THE SUB-ADVISOR. It is understood that the Sub-Advisor may perform investment advisory services for various other clients, including other investment companies. The Sub-Advisor will report to the Board of Trustees of the Trust (at regular quarterly meetings and at such other times as such Board of Trustees reasonably shall request) (i) the financial condition and prospects of the Sub-Advisor, (ii) the nature and amount of transactions affecting the Fund that involve the Sub-Advisor and affiliates of the Sub-Advisor, (iii) information regarding any potential conflicts of interest arising by reason of its continuing provision of advisory services to the Fund and to its other accounts, and (iv) such other information as the Board of Trustees shall reasonably request regarding the Fund, the Fund's performance, the services provided by the Sub-Advisor to the Fund as compared to its other accounts and the plans of, and the capability of, the Sub-Advisor with respect to providing future services to the Fund and its other accounts. At least annually, the Sub-Advisor shall report to the Trustees the total number and type of such other accounts and the approximate total asset value thereof (but not the identities of the beneficial owners of such accounts). The Sub-Advisor agrees to submit to the Trust a statement defining its policies with respect to the allocation of business among the Fund and its other clients. It is understood that the Sub-Advisor may become interested in the Trust as a shareholder or otherwise. The Sub-Advisor has supplied to the Advisor and the Trust copies of its Form ADV with all exhibits and attachments thereto (including the Sub-Advisor's statement of financial condition) and will hereafter supply to the Advisor, promptly upon the preparation thereof, copies of all amendments or restatements of such document.

The Sub-Advisor shall promptly furnish the Advisor and Trust with all amendments of or supplements to the code at least annually. On an annual basis, the Sub-Advisor shall report on compliance by the access persons of the Fund with its Code to the Advisor and to the Board and upon the written request of the Advisor or the Trust, the Sub-Advisor shall permit the Advisor and the Trust, or their respective representatives to examine the reports required to be made to the Sub-Advisor by the access persons of the Fund under the code.

The Sub-Advisor will report to the Board of Trustees of the Trust (at regular quarterly meetings and at such other times as such Board of Trustees reasonably shall request) , subject to the limitation on personal attendance at such meetings set forth in Section 2a) (i) the financial condition and prospects of the Sub-Advisor, (ii) the nature and amount of transactions affecting the Fund that involve the Sub-Advisor and affiliates of the Sub-Advisor, (iii) information regarding any potential conflicts of interest arising by reason of its continuing provision of advisory services to the Fund and to its other accounts, and (iv) such other information as the Board of Trustees shall reasonably request regarding the Fund, the Fund's performance, the services provided by the Sub-Advisor and affiliates of the Sub-Advisor to the Fund as compared to its other accounts and the plans of, and the capability of, the Sub-Advisor with respect to providing future services to the Fund and its other accounts. At least annually, the Sub-Advisor shall report to the Trustees the total number and type of such other accounts and the approximate total asset value thereof (but not the identities of the beneficial owners of such accounts). The Sub-Advisor agrees to submit to the Trust a statement defining its policies with respect to the allocation of business among the Fund and its other clients. It is understood that the Sub-Advisor may become interested in the Trust as a shareholder or otherwise. The Sub-Advisor has supplied to the Advisor and the Trust copies of its Form ADV with all exhibits and attachments thereto (including the Sub-Advisor's statement of financial condition, if applicable) and will hereafter supply to the Advisor, promptly upon the preparation thereof, copies of all amendments or restatements of such document. The services of the Sub-Advisor hereunder are not to be deemed exclusive (except as provided under the letter agreement between the Advisor and the Sub-Advisor dated October 1, 2009) and the Sub-Advisor shall otherwise be free to render services to others so long as its services hereunder are not impaired thereby and to retain for its own use and benefit all fees or other monies payable thereby. Sub-Advisor shall not be deemed to be affected with notice of or to be under any duty to disclose to the Advisor any fact or thing which comes to its notice or that of its directors, officers, employees or agents in the course of the Sub-Advisor rendering services to others or in the course of its business in any other capacity or in any manner whatsoever otherwise than in the course of carrying out its services, obligations or duties hereunder, except to the extent that any such fact or thing could reasonably be understood to affect the provision of its services, obligations or duties hereunder or as otherwise provided in this Agreement.

Nothing in this Agreement shall prevent the Sub-Advisor, any parent, subsidiary or affiliate, or any director or officer thereof, from acting as investment advisor for any other person, firm, or corporation, and shall not in any way limit or restrict the Sub-Advisor or any of its directors, officers, stockholders or employees from buying, selling or trading any securities or commodities for its or their own account or for the account of others for whom it or they may be acting, if such activities will not adversely affect or otherwise impair the performance by the Sub-Advisor of its duties and obligations under this Agreement. The Sub-Advisor will (i) supply to the Advisor, upon the execution of this Agreement, with a true copy of its currently effective Code of Ethics and policies regarding xxxxxxx xxxxxxx and (ii) thereafter supply to Advisor copies of any amendments to or restatements of such Code of Ethics or xxxxxxx xxxxxxx policies. The Sub-Advisor agrees to provide the Advisor, on a quarterly basis, a report with respect to material violations of the Sub-Advisor’s Code of Ethics or xxxxxxx xxxxxxx policies by portfolio managers who have responsibility for managing the Fund or a written statement indicating that no such violations have occurred during the quarter. In addition, the Sub-Advisor agrees to provide to the Advisor such other information concerning violations of its Code of Ethics or xxxxxxx xxxxxxx policies to the same extent that it provides such information to the Boards of Directors of its proprietary mutual funds. Nothing in this Agreement shall prevent the Sub-Advisor, any parent, subsidiary or affiliate, or any director or officer thereof, from acting as investment advisor for any other person, firm, or corporation, and shall not in any way limit or restrict the Sub-Advisor or any of its directors, officers, stockholders or employees from buying, selling or trading any securities or commodities for its or their own account or for the account of others for whom it or they may be acting, if such activities will not adversely affect or otherwise impair the performance by the Sub-Advisor of its duties and obligations under this Agreement. The Sub-Advisor will (i) supply to the Advisor, upon the execution of this Agreement, with a true copy of its currently effective Code of Ethics and policies regarding xxxxxxx xxxxxxx and (ii) thereafter supply to Advisor copies of any amendments to or restatements of such Code of Ethics or xxxxxxx xxxxxxx policies. The Sub-Advisor agrees to provide the Advisor, on a quarterly basis, a report with respect to material violations of the Sub-Advisor's Code of Ethics or xxxxxxx xxxxxxx policies by portfolio managers who have responsibility for managing the Fund or a written statement indicating that no such violations have occurred during the quarter. In addition, the Sub-Advisor agrees to provide to the Advisor such other information concerning violations of its Code of Ethics or xxxxxxx xxxxxxx policies to the same extent that it provides such information to the Boards of Directors of its proprietary mutual funds. The parties agree to be bound by the provisions of Rule 17j-1 under the 1940 Act as it may be amended to the extent that the provisions of the Rule are stricter than the provisions of this paragraph.

ACTIVITIES OF THE SUB-ADVISOR. It is understood that the Sub-Advisor may perform investment advisory services for various other clients, including other investment companies. The Trust and the Advisor further acknowledge that the Sub-Advisor may form or serve as an investment advisor or sub-advisor to future funds, which have the same, similar, or overlapping investment objectives. The Sub-Advisor will report to the Board of Trustees of the Trust (at regular quarterly meetings and at such other times as such the Board of Trustees reasonably shall request) , subject to the limitation on personal attendance at such meetings set forth in Section 2.a): (i) the financial condition and prospects of the Sub-Advisor, (ii) the nature and amount of transactions affecting the Fund that involve the Sub-Advisor and affiliates of the Sub-Advisor, (iii) information regarding any potential conflicts of interest arising by reason of its continuing provision of advisory services to the Fund and to its other accounts, and (iv) such other information as the Board of Trustees shall reasonably request regarding the Fund, the Fund's ’s performance, the services provided by the Sub-Advisor and affiliates of the Sub-Advisor to the Fund as compared to its other accounts and the plans of, and the capability of, the Sub-Advisor with respect to providing future services to the Fund and its other accounts. At least annually, the Sub-Advisor shall report to the Trustees the total number and type of such other accounts and the approximate total asset value thereof (but not the identities of the beneficial owners of such accounts). The Sub-Advisor agrees to submit to the Trust a statement defining its policies with respect to the allocation of business securities among the Fund and its other clients. It is understood that the Sub-Advisor may become interested in the Trust as a shareholder or otherwise. The Sub-Advisor has supplied to the Advisor and the Trust copies of its Form ADV with all exhibits and attachments thereto at least 48 hours prior to the effective date of this Agreement pursuant to Rule 204-3 under the Advisers Act (including the Sub-Advisor's ’s statement of financial condition) and will hereafter supply to the Advisor, promptly upon the preparation thereof, copies of all amendments or restatements of such document.
