Common use of Acts and Proceedings Clause in Contracts

Acts and Proceedings. This Agreement has been duly executed and delivered by the Purchaser and is a valid and binding agreement on the Purchaser, except as the enforceability thereof may be limited by bankruptcy, insolvency, moratorium or other similar laws affecting the enforcement of creditors’ rights generally, and except for judicial limitations on the enforcement of the remedy of specific enforcement and other equitable remedies.

Acts and Proceedings. This Agreement has been duly executed and delivered by the Purchaser Seller and is a valid and binding agreement on the PurchaserSeller, except as the enforceability thereof may be limited by bankruptcy, insolvency, moratorium or other similar laws affecting the enforcement of creditors’ rights generally, and except for judicial limitations on the enforcement of the remedy of specific enforcement and other equitable remedies.

Acts and Proceedings. This Agreement has been duly authorized by all necessary action on the part of such Purchaser, has been duly executed and delivered by the Purchaser such Purchaser, and is a valid and binding agreement on upon the Purchaserpart of such Purchaser enforceable against such Purchaser in accordance with its terms, except as the enforceability thereof may be limited by bankruptcy, insolvency, moratorium moratorium, reorganization, or other similar laws affecting the enforcement of creditors’ ' rights generally, and except for judicial limitations on the enforcement of the remedy of specific enforcement and other equitable remedies.
