Actual Purchase and Sale Intended. All Instructions will be executed on the basis that an actual purchase or sale is intended. Unless otherwise as provided in this Agreement, you must have sufficient Securities to cover all sales and sufficient Available Funds to pay in full for all purchases in accordance with this Agreement. You will fully indemnify SoFi HK against all loss and liability which it may incur as a result of your failure to have sufficient Securities or Available Funds.

If the option is exercised as to all or any portion of the Additional Shares, each Underwriter, severally and not jointly, agrees to purchase that proportion of the total number of Additional Shares then being purchased which bears the same proportion to the aggregate number of Additional Shares then being purchased as the number of Firm Shares set forth opposite the name of such Underwriter in Schedule A hereto bears to the total number of Firm Shares (subject, in each case, to such adjustment as you may determine to eliminate fractional shares), subject to adjustment in accordance with Section 9 hereof.
