ADDITIONAL AGREEMENTS OF THE COMPANY AND THE PURCHASER. 5.1 SECURITIES LAWS DISCLOSURE; PUBLICITY. The Company shall, by 1:30 p.m. Eastern time on the business day following the Closing Date of this Agreement, issue a press release and file a Current Report on Form 8-K, in each case reasonably acceptable to the Purchaser, disclosing the transactions contemplated hereby. The Company agrees and acknowledges that the filing of the Current Report on Form 8-K as evidenced on the SEC website, is a condition precedent to the release of the Purchase Price as described in Section 2.2 herein. The Company and the Purchaser shall consult with each other in issuing any press releases with respect to the transactions contemplated hereby, and none of the Company, the Purchaser shall issue any such press release or otherwise make any such public statement without the prior consent of the Company, with respect to any press release of the Purchaser, with respect to any press release of the Company, which consent shall not unreasonably be withheld, except if such disclosure is required by law, in which case the disclosing party shall promptly provide the other party with notice of such public statement or communication and consult with each other with respect thereto prior to such public disclosure. Notwithstanding the foregoing, other than as set forth above, the Company shall not publicly disclose the name of the Purchaser, or include the name of the Purchaser in any filing with the SEC or any regulatory agency or stock exchange, except to the extent such disclosure is required by law or stock exchange regulation, in which case the Company shall provide the Purchaser with prior notice of such disclosure.
