Additional Amendments Condition. Pursuant to the last paragraph of Section 13.1 of the Credit Agreement which permits the Credit Agreement to be amended, supplemented or modified with the written consent of the Administrative Agent and the Borrower in a manner not materially adverse to any Lender (and the Administrative Agent and the Borrower hereby acknowledge that such amendments are not materially adverse to any Lender), the amendments to the Credit Agreement set forth in Sections 13(b), (c), (d) and (e) above shall be effective as of the date hereof subject to the Administrative Agent’s (or its counsel’s) receipt of this Agreement executed and delivered by a duly Authorized Officer of the Borrower and the Administrative Agent.
