Common use of Additional and successor agents Clause in Contracts

Additional and successor agents. Subject to Clause 11.5 (Agents may appoint successors), the Issuer may (with the prior written approval of the Note Trustee) appoint a successor principal paying agent, Class Z VFN registrar or agent bank and additional or successor agents and the Issuer shall forthwith give notice of any such appointment to the continuing Agents, the Noteholders, the Rating Agencies and the Note Trustee and the Security Trustee, whereupon the Issuer, the continuing Agents, the Note Trustee, the Security Trustee and the successor principal paying agent, Class Z VFN registrar or agent bank and additional or successor paying agents shall acquire and become subject to the same rights and obligations between themselves as if they had entered into an agreement in the form of (and on the same terms as) this Agreement.
