The "Additional Breach Grounds" clause defines specific circumstances or actions that constitute a breach of the agreement beyond the standard or general breaches typically outlined. This clause may list particular behaviors, omissions, or failures—such as non-compliance with certain policies, misrepresentation, or failure to meet unique obligations—that, if they occur, are explicitly treated as breaches. By clearly identifying these extra grounds for breach, the clause ensures both parties understand what actions could trigger remedies or termination, thereby reducing ambiguity and helping to manage risk.
ADDITIONAL BREACH GROUNDS. Any non-compliance by BA with the provisions of this Business Associate Agreement Addendum or the HHS privacy regulations will automatically be considered grounds for breach if BA knew or reasonably should have known of such non-compliance and failed to immediately take reasonable steps to cure the non-compliance.
