ADDITIONAL DELAY SHARES. WebMD hereby agrees that, notwithstanding any other provision of this Agreement to the contrary, HBOC shall have the right to receive the Additional Delay Shares if WebMD has not completed an Initial Public Offering prior to November 22, 1999.
