- Additional Documentation on Transfer Clause Samples
The "Additional Documentation on Transfer" clause requires parties to provide any extra documents or information necessary to complete or validate the transfer of rights, assets, or interests under the agreement. In practice, this means that if a transfer is being executed—such as the sale of shares or assignment of a contract—both parties must cooperate in supplying forms, certificates, or other paperwork that may be requested by authorities, registrars, or third parties involved in the process. This clause ensures that administrative or legal hurdles do not impede the transfer, facilitating a smooth and effective completion of the transaction.
- Additional Documentation on Transfer. If a transferor of Units is a firm or a corporation, or purports to assign such Units in any representative capacity, or if an assignment results from the death, mental incapacity or bankruptcy of a Limited Partner or is otherwise involuntary, the transferor or his legal representative shall furnish to the General Partner such documents, certificates, assurances, court orders and other instruments as the General Partner may reasonably require to effect the said transfer and assignment.
- Additional Documentation on Transfer. If a transferor of Units or Special Interest Rights is a Person who is not an individual, or is a Person who purports to assign such Units or Special Interest Rights in any representative capacity, the transferor shall furnish to the General Partner such documents, certificates, assurances, court orders and other instruments as the General Partner may reasonably require before the General Partner shall effect the said transfer and assignment.
