Additional due diligence may take the form of the following processes (though it is not limited to): ● Reference Checks ● Supplier’s facility visits ● RPS on demand Past performance records including the names, email, and contact numbers of at least three clients (INGOs) Bank details of UBA or Eco-Bank Statement of Availability of Supplies at all times The price list Corporate Capabilities (Supplier must have 5 years of experience in supplying Office Supplies Offer Form Offerors must submit their own independent offer including at least (but not limited to): ● All documents requested in the “Eligibility Criteria” section of this Tender Package ● All documents requested in the “Tender Submittals” section of this Tender Package ● All information listed in the “Documents Comprising the Bid” section below All offers must be duly signed (including position and full name of the signer) and stamped, with the date of completion.
Additional Due Diligence. Notwithstanding the foregoing, if prior to Closing Seller receives notice of any Proceeding or Threatened Proceeding arising under Environmental Laws or if Seller otherwise acquires Knowledge that is reasonably likely to require a change to Schedule 5.14, Seller promptly shall notify Buyer of the same and Buyer may request that Seller authorize Buyer to conduct specific additional environmental due diligence measures if and to the extent that such measures are required to determine the extent of any potential Environmental Liability relating thereto. Such authorization shall not be unreasonably withheld, conditioned or delayed by Seller. Any such additional environmental due diligence shall be conducted at Buyer's sole expense.
Additional Due Diligence. The Buyer shall undertake the following additional due diligence elements at its own expense and for its own benefit for the purpose of complying with the contingencies under Section 8: [x] (a) Ordering and obtaining an appraisal of the Property if one is not otherwise required under Section 7.2 (a); [x] (b) Ordering and obtaining a survey of the Property if one is not otherwise required under Section 6; [x] (c) Ordering and obtaining any environmentally related study of the Property; [x] (d) Ordering and obtaining a physical inspection report regarding, and completing a personal inspection of, the Property; [x] (e) Requesting and obtaining verification that the Property complies with all applicable federal, state and local laws, ordinances and regulations with regard to zoning and permissible use of the Property. Seller agrees to cooperate fully with Buyer's completing these due diligence matters and to make the Property available as reasonable and necessary for the same.
Additional Due Diligence. The City, DDA, or Developer may determine through the due diligence period that additional information and materials may be necessary to supplement what has been outlined in this Agreement. All parties shall reasonably

Additional Due Diligence. If the Agent so requires following the Agent becoming aware of any event, circumstance or any matter which in the reasonable opinion of Agent has, or would have, a material and adverse impact on (a) any Assumption in the current Projection, (b) any Budget, (c) on the progress of any Borrowing Base Asset; or (d) otherwise on the operation and/or exploitation of any Borrowing Base Asset, then the Agent may carry out, or appoint expert(s) or adviser(s) to carry out, such due diligence with regard to any Borrowing Base Asset as it considers necessary and the Borrower shall (i) take all such steps as may reasonably be necessary to facilitate the same and (ii) be responsible for all reasonable costs (including legal and other advisory fees) that may be incurred by the Agent in connection with such due diligence.

Offer Form Offerors must submit their own independent offer including at least (but not limited to): All documents requested in the “Eligibility Criteria” section of this Tender Package All documents requested in the “Tender Submittals” section of this Tender Package All information listed in the “Documents Comprising the Bid” section below All offers must be duly signed (including position and full name of the signer) and stamped, with the date of completion.
Additional Due Diligence. The Co-Lead Arrangers shall have advised the Borrowers in writing that the Initial Majority DIP Lenders shall have completed an additional due diligence review with respect to each Loan Party, the scope, substance and results of which due diligence review (i) shall be satisfactory to each Initial Majority DIP Lender in its sole discretion, (ii) shall include, at the request of the Initial Majority DIP Lenders in their sole discretion, an evaluation of (x) the assets of each Loan Party (including without limitation its subscribers), (y) the reporting systems of each Loan Party (including without limitation billing systems and cash management systems) and (z) the receipt of historical financial information with respect to each Loan Party and (iii) shall include, in any event, satisfaction of the Initial Majority DIP Lenders with the Loan Parties' systems for tracking cash receipt and disbursements and with the arrangements with the Adelphia Business Solutions business regarding the continued supply of certain services to the Loan Parties.
Additional Due Diligence. If any of the matters below are of concern to Buyer, Buyer should address the concern by specific contingency in the Special Stipulations Paragraph of this Agreement.
