Additional Efforts. Following the Closing, as and when requested by any party hereto and at such requesting party’s expense, any other party shall execute and deliver, or cause to be executed and delivered, all such documents and instruments and shall take, or cause to be taken, all such further actions as the requesting party may reasonably deem necessary or desirable to evidence and effectuate the transactions contemplated by this Agreement.
Additional Efforts. Subject to the terms and conditions of this Agreement, each party hereto will use commercially reasonable efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable under applicable Laws promptly to consummate the transactions contemplated by this Agreement. Additional Efforts. Generac will advise its Authorized Service Dealers of the no-cost Inspection Claims available to Claimants pursuant to the settlement. Generac will also continue to remind Authorized Service Dealers in its service information bulletin to visually examine fuel systems (including but not limited to plenums, if any) during general maintenance or service visits. Generac will also update the information on its website regarding the Inspection Program.

Subject to the terms and conditions herein, provided each of the parties hereto agrees to use its commercially reasonable efforts to take, or cause to be taken, all action, and to do, or cause to be done, all things necessary, proper and advisable under applicable Law (including the HSR Act, if applicable), necessary to consummate and make effective the Transactions. In case at any time after the Closing Date any further action is necessary or desirable to carry out the purposes of this Agreement, Sellers and Buyer shall take all such necessary action. Sellers and Buyer will execute any additional instruments necessary to consummate the Transactions.

Additional Efforts. ● Sandoz expects significant increase in the time and effort required due to additional Manufacturing and QC documents (such as, Change request, Batch Records, Manufacturing Procedure) to be prepared for both Metreleptin large-scale and small-scale batches. Other than as noted in the Schedule B of Amendment 9 below, Sandoz shall charge to Aegerion the cost for any further additional documents as required for the Modified Campaign 2020. ● Despite Sandoz’ diligent efforts, Aegerion acknowledges and accepts to bear risk and cost for any rejection or recall of batches manufactured under Modified Campaign due to an increase in potential deviations, human error notwithstanding anything contrary in the Article 27 of the Agreement; except if the same is due to Sandoz’ gross negligence.
Additional Efforts. Upon the terms and subject to the conditions set forth in the Tender Offer Agreement, each of the Company and Purchaser has agreed to use its best efforts to take, or cause to be taken, all action and to do, or cause to be done, all things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated by the Tender Offer Agreement, and to cooperate with each other in connection with the foregoing, including using its best efforts (i) to obtain all necessary waivers, consents and approvals from other parties to loan agreements, material leases and other material contracts, (ii) to obtain all necessary consents, approvals and authorizations as are required to be obtained under any federal, state or foreign law or regulations, (iii) to defend all lawsuits or other legal proceedings challenging the Tender Offer Agreement or the consummation of the transactions contemplated thereby, (iv) to lift or rescind any injunction or restraining order or other order adversely affecting the ability of the parties to consummate the transactions contemplated thereby, (v) to effect all necessary registrations and filings, including, but not limited to, filings under the HSR Act and submissions of information requested by governmental authorities, and (vi) to fulfill all conditions to the Tender Offer Agreement.
Additional Efforts. The Selling Stockholders shall use their commercially reasonable efforts to cause holders of at least ninety-three percent (93%) of the Company Common Stock to: (a) execute and deliver this Agreement, the Secondary Purchase Agreement or the Additional Purchase Agreement and (b) sell all of their shares of Company Common Stock to the Parent or, if applicable, the Acquisition Sub, on the Closing Date.
Additional Efforts. If Licensor is unable to correct such Critical Defect within a reasonable time after the steps have been taken described in subparagraphs (b) through (d) above, Licensor shall implement work- around processes designed to minimize the impact of the Critical Defect.
