Additional Efforts. Subject to the terms and conditions of this Agreement, each party hereto will use commercially reasonable efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable under applicable Laws promptly to consummate the transactions contemplated by this Agreement. Following the Closing, as and when requested by any party hereto and at such requesting party’s expense, any other party shall execute and deliver, or cause to be executed and delivered, all such documents and instruments and shall take, or cause to be taken, all such further actions as the requesting party may reasonably deem necessary or desirable to evidence and effectuate the transactions contemplated by this Agreement.

Subject to the terms and conditions herein, provided each of the parties hereto agrees to use its commercially reasonable efforts to take, or cause to be taken, all action, and to do, or cause to be done, all things necessary, proper and advisable under applicable Law (including the HSR Act, if applicable), necessary to consummate and make effective the Transactions. In case at any time after the Closing Date any further action is necessary or desirable to carry out the purposes of this Agreement, Sellers and Buyer shall take all such necessary action. Sellers and Buyer will execute any additional instruments necessary to consummate the Transactions.
Additional Efforts. Xxxxxxxxx.xxx and Client hereby acknowledge that the Parties may wish to supplement this Agreement with additional Internet efforts within the Exclusive Zip Codes. Any such initiatives shall be implemented upon the execution of a written amendment hereto.
Additional Efforts. Generac will advise its Authorized Service Dealers of the no-cost Inspection Claims available to Claimants pursuant to the settlement. Generac will also continue to remind Authorized Service Dealers in its service information bulletin to visually examine fuel systems (including but not limited to plenums, if any) during general maintenance or service visits. Generac will also update the information on its website regarding the Inspection Program.

Notwithstanding any Commercially Reasonable Efforts applied by a Party to the Development Program, each Party shall have the right, by mutual agreement of the Parties, at its sole cost, to apply additional FTEs to conduct activities under the Development Program. CG shall use Commercially Reasonable Efforts to avoid the situations where the development of the Products by its other licensees causes a negative impact on the development of the Products in and outside the Territory.
