Additional Exempt Transfers. Notwithstanding anything to the contrary contained in this Agreement, the following transfers will not be subject to the provisions of Section 2.4 or Sections 3.1(a) through (e): a transfer of any Shares pursuant to Rule 144 or a transfer pursuant to a registration statement filed under the Securities Act. Any Shares so transferred will cease to be subject to this Agreement.
