Additional Governmental Consents. All actions by or in respect of or filings with any governmental body, agency, official or authority in the United States of America or Canada required to permit the consummation of the Closing shall have been taken, made or obtained other than such actions or filings which, if not taken or made, would not reasonably be expected to have a Business Material Adverse Effect.
