Common use of Additional HD Access Channels Clause in Contracts

Additional HD Access Channels. (1) Grantee shall provide and Activate up to two (2) more of the existing Access Channels in HD format Access Channels, for a total of four (4) HD format Access Channels subject to the conditions in Section 5.2(G)(4), 12 months after Grantee transitions to digital-only format. (2) Grantee shall provide and Activate up to two (2) more of the existing Access Channels in HD format Access Channels, for a total of six (6) HD format Access Channels, subject to the conditions in Section 5.2(G)(4), 24 months after Grantee transitions to digital-only format. (3) Grantee shall provide and Activate up to two (2) more of the existing Access Channels in HD format Access Channels, for a total of eight (8) HD format Access Channels, subject to the conditions in Section 5.2(G)(4), 36 months after Grantee transitions to digital-only format. (4) Activation of HD format Access Channels under Section 5.2(G) shall occur under the following conditions: (a) The City shall notify Grantee in writing of its need to Activate the HD format Access Channels under this Section 5.2(G) and shall provide notice to Grantee that the following criteria have been met: (1) At least 80% (eighty percent) of the Access Programming carried on the SD format Channel, which the City has identified as the Channel to be carried in an HD format Channel, has been produced in an HD format for any three-month time period prior to the notice provided under this Section; and (2) Not more than 50% (fifty percent) of the Access Programming carried on the SD format Channel, which the City has identified as the Channel to be carried in an HD format Channel, is character-generated only Programming for any three-month time period prior to the notice provided under this Section. (b) The HD format Access Channels provided under Section 5.2(G) are in addition to the SD format of those Access Channels provided for in Section 5.2(D). (c) Grantee shall have no more than 120 days from the date of the written notice under Section 5.2(G)(4)(a) to fully Activate the Access Channels from the Designated Access Provider to Subscribers in the HD format. Grantee shall verify HD Channel Signal delivery to Subscribers with the Designated Access Provider, consistent with the requirements of Section 5.2(F). (d) The City acknowledges that receipt of HD format Access Channels may require Subscribers to buy or lease special equipment, or pay additional HD charges applicable to all HD services.

Additional HD Access Channels. (1) Grantee shall provide and Activate up to two one (21) more of the existing Access Channels in HD format Access Channels, for a total of four (4) HD format Access Channels subject to the conditions in Section 5.2(G)(49.5 (A) (4), 12 months after Grantee transitions to digital-only formatthe date set forth in Section 9.5. (2) Grantee shall provide and Activate up to two one (21) more of the existing Access Channels in HD format Access Channels, for a total of five (5) HD format Access Channels, subject to the conditions in Section 9.5 (A) (4), 24 months after the date set forth in Section 9.5. (3) Grantee shall provide and Activate up to one (1) more of the existing Access Channels in HD format Access Channels, for a total of six (6) HD format Access Channels, subject to the conditions in Section 5.2(G)(4), 24 months after Grantee transitions to digital-only format. 9.5 (3A) Grantee shall provide and Activate up to two (2) more of the existing Access Channels in HD format Access Channels, for a total of eight (8) HD format Access Channels, subject to the conditions in Section 5.2(G)(44), 36 months after Grantee transitions to digital-only formatthe date set forth in Section 9.5. (4) Activation of HD format Access Channels under this Section 5.2(G9.5 (A) shall occur under the following conditions: (a) The City Grantor shall notify Grantee in writing of its need to Activate activate the HD format Access Channels under this Section 5.2(G) and shall provide notice to Grantee that the following criteria have been met: (1i) At least 80% (eighty percent) of the basic service tier channels excluding PEG Access Channels are provided in HD format; (ii) At least 80% (eighty percent) of the Access Programming carried on the SD format Channel, which the City Grantor has identified as the Channel to be carried in an a HD format Channel, has been produced in an HD format for any three-month time period prior to the notice provided under this Section; and; (2iii) Not more than 50% (fifty percent) of the Access Programming carried on the SD format Channel, which the City Grantor has identified as the Channel to be carried in an a HD format Channel, is character-generated only Programming for any three-three- month time period prior to the notice provided under this Section.; and (biv) The HD format Access Channels provided under Section 5.2(GAt least twenty –five percent (25%) are in addition to of Grantee’s cable subscribers within the Franchise Area regularly views programming carried on the SD format of those Access Channels provided for Channel, which the Grantor has identified as the Channel to be carried in Section 5.2(D). (c) Grantee shall have no more than 120 days from the date of the written notice under Section 5.2(G)(4)(a) to fully Activate the Access Channels from the Designated Access Provider to Subscribers in the a HD format. For the purpose of this subsection, “regularly views” means viewing programs on the channel at least twice per month. A survey of Xxxxxxx’s cable subscribers within the Franchise Area mutually agreed upon by Xxxxxxx and Grantor may be conducted, and the cost of the survey shall be shared equally between Grantor and Xxxxxxx. In lieu of the survey, the parties may mutually agree to utilize viewership data as may become available to Grantee shall verify HD Channel Signal delivery to Subscribers with the Designated Access Provider, consistent with the requirements of Section 5.2(F)on its Cable System. (d) The City acknowledges that receipt of HD format Access Channels may require Subscribers to buy or lease special equipment, or pay additional HD charges applicable to all HD services.

(4) Activation of HD format Access Channels under Section 5.2(G) shall occur under the following conditions: (a) The City Jurisdictions shall notify Grantee in writing of its need to Activate the HD format Access Channels under this Section 5.2(G) and shall provide notice to Grantee that the following criteria have been met: (1) At least 80% (eighty percent) of the Access Programming carried on the SD format Channel, which the City has Jurisdictions have identified as the Channel to be carried in an HD format Channel, has been produced in an HD format for any three-month time period prior to the notice provided under this Section; and (2) Not more than 50% (fifty percent) of the Access Programming carried on the SD format Channel, which the City has Jurisdictions have identified as the Channel to be carried in an HD format Channel, is character-generated only Programming for any three-month time period prior to the notice provided under this Section. (b) The HD format Access Channels provided under Section 5.2(G) are in addition to the SD format of those Access Channels provided for in Section 5.2(D).
