Additional Instruments and Assurances. The Borrower shall execute and deliver to the LOC Provider all such documents and instruments, and do all such acts and things, as may be necessary or required by the LOC Provider to enable the LOC Provider to exercise and enforce its rights under this Agreement, and to realize thereon, all as may be necessary or required by the LOC Provider to validate, preserve and protect the position of the LOC Provider under this Agreement and the other related documents.

Additional Instruments and Assurances. Pledgor hereby agrees, at its own expense, to execute and deliver or cause to be executed and delivered, from time to time, any and all other instruments and to perform such other acts as Pledgee may reasonably request to effect the purpose of this Pledge Agreement. Pledgor agrees to pay all transfer taxes, if any, that may be payable or determined to be payable in connection with any transfer of all or any portion of the Collateral pursuant to the terms hereof.

Additional Instruments and Assurances. The Pledgor hereby agrees, at its own expense, to execute and deliver, from time to time, any and all further, or other, instruments, and to perform such acts, as the Collateral Agent may reasonably request to effect the purposes of this Agreement and to secure to the Collateral Agent the benefits of all rights and remedies conferred upon the Collateral Agent by the terms of this Agreement.

Additional Instruments and Assurances. The Pledgor hereby agrees, at its own expense, to execute and deliver, from time to time, any and all further, or other, instruments, and to perform such acts, as the Pledgee may reasonably request to effect the purposes of this Pledge Agreement and to secure to the Pledgee, and to all persons who may from time to time be a holder of the Note, the benefits of all rights, authorities and remedies conferred upon the Pledgee by the terms of this Pledge Agreement. In the event that at any time hereafter, due to any change in circumstances, including without limitation any change in any applicable law, or any decision hereafter made by a court construing any applicable law, it is, in the opinion of counsel for the Pledgee, necessary or desirable to file or record this Pledge Agreement or any financing statement respecting this Pledge Agreement or the pledge made hereunder, the Pledgor agrees to execute and deliver any instruments that may be necessary or appropriate to make such filing or recording effective.

Additional Instruments and Assurances. The Issuer shall execute and deliver to the Bank all such documents and instruments, and do all such acts and things, as may be necessary or required by the Bank to enable the Bank to exercise and enforce its rights under this Agreement, and to record and file and re-record and re-file all such documents and instruments, at such time or times, in such manner and at such place or places, all as may be necessary or required by the Bank to validate, preserve and protect the position of the Bank under this Agreement, the Note and the rights pledged to the Bank hereunder.
