Additional LIBOR Provisions. (i) If Bank at any time shall determine that for any reason adequate and reasonable means do not exist for ascertaining LIBOR, then Bank shall promptly give notice thereof to Borrower. If such notice is given and until such notice has been withdrawn by Bank, then (A) no new LIBOR option may be selected by Borrower, and (B) any portion of the outstanding principal balance hereof which bears interest determined in relation to LIBOR, subsequent to the end of the Fixed Rate Term applicable thereto, shall bear interest determined in relation to the Prime Rate. (ii) If any law, treaty, rule, regulation or determination of a court or governmental authority or any change therein or in the interpretation or application thereof (each, a "Change in Law") shall make it unlawful for Bank (A) to make LIBOR options available hereunder, or (B) to maintain interest rates based on LIBOR, then in the former event, any obligation of Bank to make available such unlawful LIBOR options shall immediately be cancelled, and in the latter event, any such unlawful LIBOR-based interest rates then outstanding shall be converted, at Bank's option, so that interest on the portion of the outstanding principal balance subject thereto is determined in relation to the Prime Rate; provided however, that if any such Change in Law shall permit any LIBOR-based interest rates to remain in effect until the expiration of the Fixed Rate Term applicable thereto, then such permitted LIBOR-based interest rates shall continue in effect until the expiration of such Fixed Rate Term. Upon the occurrence of any of the foregoing events, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any fines, fees, charges, penalties or other costs incurred or payable by Bank as a result thereof and which are attributable to any LIBOR options made available to Borrower hereunder, and any reasonable allocation made by Bank among its operations shall be conclusive and binding upon Borrower. (iii) If any Change in Law or compliance by Bank with any request or directive (whether or not having the force of law) from any central bank or other governmental authority shall: (A) subject Bank to any tax, duty or other charge with respect to any LIBOR options, or change the basis of taxation of payments to Bank of principal, interest, fees or any other amount payable hereunder (except for changes in the rate of tax on the overall net income of Bank); or (B) impose, modify or hold applicable any reserve, special deposit, compulsory loan or similar requirement against assets held by, deposits or other liabilities in or for the account of, advances or loans by, or any other acquisition of funds by any office of Bank; or (C) impose on Bank any other condition; and the result of any of the foregoing is to increase the cost to Bank of making, renewing or maintaining any LIBOR options hereunder and/or to reduce any amount receivable by Bank in connection therewith, then in any such case, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any additional costs incurred by Bank and/or reductions in amounts received by Bank which are attributable to such LIBOR options. In determining which costs incurred by Bank and/or reductions in amounts received by Bank are attributable to any LIBOR options made available to Borrower hereunder, any reasonable allocation made by Bank among its operations shall be conclusive and binding upon Borrower.

(d) Bank will have no obligation to accept an election of Borrower for the LIBOR option if any of the following described events has occurred and is continuing:
(i) Dollar deposits in the principal amount, and for periods equal to the LIBOR Rate Term, of any Revolving Loan which bears interest in relation to the LIBOR Rate are not available in the Designated LIBOR Market; or
(ii) an Event of Default has occurred and is continuing; or
(iii) the LIBOR Rate does not accurately reflect the cost of any Revolving Loan which bears interest in relation to the LIBOR Rate.

(d) Bank will have no obligation to accept an election of Borrower for the LIBOR option if any of the following described events has occurred and is continuing:
(i) Dollar deposits in the principal amount, and for periods equal to the LIBOR Rate Term, of any Revolving Loan which bears interest in relation to the LIBOR Rate are not available in the Designated LIBOR Market; or
(ii) an Event of Default has occurred and is continuing; or

(ii) If any lawregulatory change shall, treaty, rule, regulation or in the reasonable determination of a court or governmental authority or any change therein or in the interpretation or application thereof (eachBank, a "Change in Law") shall make it unlawful for Bank (A) to make LIBOR options available hereunder, or (B) to maintain interest rates the loans based on LIBORthe LIBOR rate, then Bank shall promptly notify Borrower in the former event, any obligation writing of Bank to make available such unlawful LIBOR options shall immediately be cancelled, and in the latter event, any such unlawful LIBOR-based interest rates then outstanding shall be converted, at Bank's option, so that interest on the portion an alternate calculation of the outstanding principal balance subject thereto is determined LIBOR rate made in relation to the Prime Rate; provided however, that if any such Change in Law shall permit any LIBOR-based interest rates to remain in effect until the expiration of the Fixed Rate Term applicable thereto, then such permitted LIBOR-based interest rates shall continue in effect until the expiration of such Fixed Rate Term. Upon the occurrence of any of the foregoing events, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any fines, fees, charges, penalties or other costs incurred or payable by Bank as a result thereof and which are attributable to any LIBOR options made available to Borrower hereunder, and any Bank’s sole reasonable allocation made by Bank among its operations shall be conclusive and binding upon Borrowerdiscretion.
(iii) If any Change in Law or compliance by Bank with any request or directive regulatory change (whether or not having the force of law) from any central bank or other governmental authority shall:
shall (A) impose, modify or deem applicable any assessment, reserve, special deposit or similar requirement against assets held by, or deposits in or for the account of, or loans by, or any other acquisition of funds or disbursements by, Bank; (B) subject Bank or any amounts advanced hereunder to any new or additional tax, duty duty, charge, stamp tax or other charge with respect to any LIBOR options, fee or change the basis of taxation of payments to Bank of principal, interest, fees principal or any other amount payable interest due from Borrower to Bank hereunder (except for changes other than a change in the rate taxation of tax on the overall net income of Bank); or
(B) impose, modify or hold applicable any reserve, special deposit, compulsory loan or similar requirement against assets held by, deposits or other liabilities in or for the account of, advances or loans by, or any other acquisition of funds by any office of Bank; or
(C) impose on Bank any other condition; new or additional condition regarding any amounts advanced hereunder, and Bank shall determine (which determination shall be conclusive, absent manifest error) that the result of any of the foregoing is to increase the cost to Bank of making, renewing making or maintaining any LIBOR options loans hereunder and/or or to reduce any the amount receivable of principal or interest received by Bank in connection therewithhereunder, then in any such case, Borrower shall pay to Bank immediately upon demand Bank, on written demand, such additional amounts as may be necessary Bank shall, from time to time in its sole reasonable discretion, determine are sufficient to compensate and indemnify Bank for any additional costs incurred by Bank and/or reductions in amounts received by Bank such increased cost or reduced amount (which are attributable to such LIBOR options. In determining which costs incurred by Bank and/or reductions in amounts received by Bank are attributable to any LIBOR options made available to Borrower hereunder, any reasonable allocation made by Bank among its operations shall be conclusive and binding upon Borrower.

Additional LIBOR Provisions. (B) impose, modify or hold applicable any reserve, special deposit, compulsory loan or similar requirement against assets held by, deposits or other liabilities in or for the account of, advances or loans by, or any other acquisition of funds by any office of Bank; or
(C) impose on Bank any other condition; and the result of any of the foregoing is to increase the cost to Bank of making, renewing or maintaining any LIBOR options hereunder and/or to reduce any amount receivable by Bank in connection therewith, then in any such case, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any additional costs incurred by Bank and/or reductions in amounts received by Bank which are attributable to such LIBOR options. (ii) If any law, treaty, rule, regulation or determination of a court or governmental authority or any change therein or in the interpretation or application thereof (each, a "Change in Law") shall make it unlawful for Bank (A) to make LIBOR options available hereunder, or (B) to maintain interest rates based on LIBOR, then in the former event, any obligation of Bank to make available such unlawful LIBOR options shall immediately be cancelled, and in the latter event, any such unlawful LIBOR-based interest rates then outstanding shall be converted, at Bank's option, so that interest on the portion of the outstanding principal balance subject thereto is determined in relation to the Prime Rate; provided however, that if any such Change in Law shall permit any LIBOR-based interest rates to remain in effect until the expiration of the Fixed Rate Term applicable thereto, then such permitted LIBOR-based interest rates shall continue in effect until the expiration of such Fixed Rate Term. Upon the occurrence of any of the foregoing events, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any fines, fees, charges, penalties or other costs incurred or payable by Bank as a result thereof and which are attributable to any LIBOR options made available to Borrower hereunder, and any reasonable allocation made by Bank among its operations shall be conclusive and binding upon Borrower.
(iii) If any Change in Law or compliance by Bank with any request or directive (whether or not having the force of law) from any central bank or other governmental authority shall:
(A) subject Bank to any tax, duty or other charge with respect to any LIBOR options, or change the basis of taxation of payments to Bank of principal, interest, fees or any other amount payable hereunder (except for changes in the rate of tax on the overall net income of Bank); or
(B) impose, modify or hold applicable any reserve, special deposit, compulsory loan or similar requirement against assets held by, deposits or other liabilities in or for the account of, advances or loans by, or any other acquisition of funds by any office of Bank; or
(C) impose on Bank any other condition; and the result of any of the foregoing is to increase the cost to Bank of making, renewing or maintaining any LIBOR options hereunder and/or to reduce any amount receivable by Bank in connection therewith, then in any such case, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any additional costs incurred by Bank and/or reductions in amounts received by Bank which are attributable to such LIBOR options. (d) Bank will have no obligation to accept an election of Borrower for the LIBOR option if any of the following described events has occurred and is continuing:
(i) Dollar deposits in the principal amount, and for periods equal to the LIBOR Rate Term, of any Revolving Loan which bears interest in relation to the LIBOR Rate are not available in the Designated LIBOR Market; or
(ii) an Event of Default has occurred and is continuing; or
(iii) the LIBOR Rate does not accurately reflect the cost of any Revolving Loan which bears interest in relation to the LIBOR Rate.

If such notice is given and until such notice has been withdrawn by Bank, then as a consequence of (A) no new LIBOR option may be selected the conversion of the Interest Rate from the LIBOR-Based Rate to the Replacement Index-Based Rate in accordance with subsection (ii) below, including, without limitation, such loss or expenses arising from interest or fees payable by BorrowerLender to lenders of funds obtained by it in order to maintain the LIBOR-Based Rate (or the Replacement Index-Based Rate, and if applicable) hereunder; (B) any portion increased costs that Lender may sustain in maintaining the Loan as a variable rate loan; (C) the reduction of any amounts received or receivable from Borrower or any increased conditions, costs or expenses affecting Lender, this Agreement or the outstanding principal balance hereof which bears interest determined London interbank market (or any market directly affecting the published index used to establish the Replacement Index as described in relation to LIBOR, subsequent to the end of the Fixed Rate Term applicable thereto, shall bear interest determined in relation to the Prime Rate.
clause (ii) If below), in any lawcase, treaty, rule, regulation or determination of a court or governmental authority or due to any change therein or in the interpretation or application thereof (each, a "Change in Law") shall make it unlawful for Bank (A) to make LIBOR options available hereunder, or (B) to maintain interest rates based on LIBOR, then in the former event, any obligation of Bank to make available such unlawful LIBOR options shall immediately be cancelled, and in the latter event, any such unlawful LIBOR-based interest rates then outstanding shall be converted, at Bank's option, so that interest on the portion of the outstanding principal balance subject thereto is determined in relation due to the Prime Rate; provided however, that if any such Change in Law shall permit any LIBOR-based interest rates to remain in effect until the expiration of the Fixed Rate Term applicable thereto, then such permitted LIBOR-based interest rates shall continue in effect until the expiration of such Fixed Rate Term. Upon the occurrence of any of the foregoing events, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any fines, fees, charges, penalties or other costs incurred or payable by Bank as a result thereof and which are attributable to any LIBOR options made available to Borrower hereunder, and any reasonable allocation made by Bank among its operations shall be conclusive and binding upon Borrower.
(iii) If any Change in Law or compliance by Bank Lender with any request or directive (directive, whether or not having the force of law) , or request from any central bank or other governmental authority shall:
domestic or foreign Governmental Authority, agency or instrumentality have jurisdiction and/or (AD) subject Bank any Change in Law affecting Lender or any lending office of Lender or Lender’s holding company, if any, regarding capital or liquidity ratios or requirements has or would have the effect of reducing the rate of return on Lender’s capital or on the capital of Lender’s holding company, if any, as a consequence of this Agreement, the commitments of Lender hereunder or the Loan, to any tax, duty a level below that Lender or other charge Lender’s holding company could have achieved but for such Change in Law (taking into consideration Lender’s policies and the policies of Lender’s holding company with respect to capital adequacy) (collectively, “Funding Losses”) in each case incurred from time to time by Lender promptly upon written demand. Lender shall reasonably determine any Funding Losses and shall deliver to Borrower a statement for any such sums to which Lender is entitled to receive pursuant to this Section 2.3(f)(i) that includes reasonable backup documentation evidencing such sums, which statement shall be binding and conclusive absent manifest error. Payment of Funding Losses hereunder shall be in addition to any obligation to pay any Breakage Costs, if any. If Lender requests compensation under this Section 2.3(f)(i) or Section 11.28 as a result of a Change in Law, then Lender shall (at the request of Borrower) use reasonable efforts to designate a different lending office for funding or booking the Loan or to assign its rights and obligations hereunder to another of its offices, branches or affiliates, if, in the reasonable judgment of Lender, such designation or assignment (x) would eliminate or reduce amounts payable pursuant to this Section 2.3(f)(i) or Section 11.28 in the future, and (y) would not subject Lender to any unreimbursed cost or expense and would not otherwise be disadvantageous to Lender. Borrower hereby agrees to pay all reasonable out-of-pocket costs and expenses incurred by any Lender in connection with any such designation or assignment.
(ii) If Lender at any time or from time to time determines that (a) LIBOR optionsis unavailable, (b) LIBOR cannot be determined, (c) LIBOR does not adequately reflect the cost to Lender of making, funding, or change maintaining the basis Loan, (d) the use of taxation LIBOR has become impracticable or unreliable, (e) LIBOR is no longer representative of payments the underlying market or economic reality, or (f) it is no longer lawful for Lender to Bank of principallend at any rate based on LIBOR (any such determination is hereafter called a “Trigger Event”) or the circumstances permitting an Early Opt-In Election have occurred, interestthen, fees or any other amount payable hereunder (except for changes in the Lender may elect to designate a substitute interest rate of tax on the overall net income of Bank); or
(B) impose, modify or hold applicable any reserve, special deposit, compulsory loan or similar requirement against assets held by, deposits or other liabilities in or index for the account ofLoan, advances or loans bywhich may be Term SOFR, Daily Simple SOFR, or an alternate index rate that has been selected by Lender as the replacement for LIBOR so long as any other acquisition such replacement is consistent with then prevailing commercial real estate loan market (the “Replacement Index”). If Lender designates a Replacement Index, Lender may also determine at such time or from time to time thereafter that a Margin adjustment is necessary to produce a comparable interest rate to the Interest Rate that would have applied to the Loan utilizing and index based on LIBOR. Upon such determination, Lender will designate the amount of funds such Margin adjustment (which may be a positive or a negative number) and adjust the Margin by any office of Bank; or
that amount (C) impose on Bank any other condition; and the result of any will be the “Adjusted Margin”). Lender will provide written notice to Borrower of the foregoing is Replacement Index, any Margin adjustment, and the Adjusted Margin, as applicable. Commencing with the first Interest Rate change thereafter, the Replacement Index shall be deemed to be and shall become the operative interest rate index for purposes of the Loan and this Agreement and any other Loan Documents, and the Loan shall continue to bear interest on the unpaid principal amount thereof through repayment thereof at the Replacement Index plus the Margin or the Adjusted Margin, as applicable (subject to (i) any interest rate floor (if any) set out in this Agreement and (ii) increase the cost to Bank of making, renewing or maintaining by any LIBOR options hereunder and/or to reduce any amount receivable by Bank in connection therewith, then in any such case, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any additional costs incurred by Bank and/or reductions in amounts received by Bank which are attributable to such LIBOR optionsapplicable default rate). In determining which costs incurred by Bank and/or reductions any event, the Replacement Index will not be less than the greater of fifteen basis points (i.e.; 0.15%) per annum or any minimum index floor (if any) otherwise provided in amounts received by Bank are attributable to any LIBOR options made available to Borrower hereunder, any reasonable allocation this Agreement. The Replacement Index may not necessarily be Lender's most favorable lending rate or interest rate index. Any determination or designation made by Bank among its operations Lender under, and consistent with the terms of, this paragraph shall be made in Lender's sole and absolute discretion and shall be conclusive and binding upon absent manifest error. In connection with the implementation of a Replacement Index and, as applicable, the Adjusted Margin, Lender will have the right from time to time, without any further action or consent of Borrower or any other party, to implement any technical, administrative, or operational changes that Lender decides may be appropriate to reflect the adoption and implementation of such Replacement Index and, as applicable, the Adjusted Margin and to permit the administration thereof by Lender in a manner substantially consistent with market practice (or, if Lender determines that adoption of any portion of such market practice is not administratively feasible or if Lender determines that no market practice for the administration of such Replacement Index and, as applicable, the Adjusted Margin exists, in such other manner of administration as Lender decides is reasonably necessary in connection with the administration of the loan). Such technical, administrative, or operational changes may include, without limitation, changes to the determination of a Business Day or an Interest Period, the timing and frequency of determining rates and making and applying payments, implementation and length of any lookback period, and other technical, administrative, or operational matters.
(iii) The United Kingdom’s Financial Conduct Authority (“FCA”) has announced it will phase out its support of the London Interbank Offered Rate. Borrower acknowledges that if during the term of the Loan, an Early Opt-In Election or a Trigger Event occurs, Borrower’s variable interest rate will be determined based on an alternate interest rate index and, as applicable, adjusted margin, in accordance with the above provisions of this Section 2.3(f). The effect of the FCA’s decision to no longer support the London Interbank Offered Rate cannot be predicted, or, if changes are ultimately made to the London Interbank Offered Rate, the effect of those changes cannot be predicted. In addition, Borrower acknowledges the impact of any interest rate index change related to the Loan due to the FCA’s decision to phase out its support of the London Interbank Offered Rate, should this occur, cannot be predicted and may or may not be advantageous to Borrower.

(d) Bank will have no obligation to accept an election of Borrower for the LIBOR option if any of the following described events has occurred and is continuing:
(i) Dollar deposits in the principal amount, and for periods equal to the LIBOR Rate Term, of any Revolving Loan which bears interest in relation to the LIBOR Rate are not available in the Designated LIBOR Market; or
(ii) an Event of Default has occurred and is continuing; or
(iii) the LIBOR Rate does not accurately reflect the cost of any Revolving Loan which bears interest in relation to the LIBOR Rate.

(ii) If any law, treaty, rule, regulation or determination of a court or governmental authority or any change therein or in the interpretation or application thereof (each, a "Change in Law") shall make it unlawful for Bank (A) to make LIBOR options available hereunder, or (B) to maintain interest rates based on LIBOR, then in the former event, any obligation of Bank to make available such unlawful LIBOR options shall immediately be cancelled, and in the latter event, any such unlawful LIBOR-LIBOR- based interest rates then outstanding shall be converted, at Bank's option, so that interest on the portion of the outstanding principal balance subject thereto is determined in relation to the Prime Rate; provided however, that if any such Change in Law shall permit any LIBOR-based interest rates to remain in effect until the expiration of the Fixed Rate Term applicable thereto, then such permitted LIBOR-based interest Interest rates shall continue in effect until the expiration of such Fixed Rate Term. Upon the occurrence of any of the foregoing events, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any fines, fees, charges, penalties or other costs incurred or payable by Bank as a result thereof and which are attributable to any LIBOR options made available to Borrower hereunder, and any reasonable allocation made by Bank among its operations shall be conclusive and binding upon Borrower.
(iii) If any Change in Law or compliance by Bank with any request or directive (whether or not having the force of law) from any central bank or other governmental authority shall:
(A) subject Bank to any tax, duty or other charge with respect to any LIBOR options, or change the basis of taxation of payments to Bank of principal, interest, fees or any other amount payable hereunder (except for changes in the rate of tax on the overall net income of Bank); or
(B) impose, modify or hold applicable any reserve, special deposit, compulsory loan or similar requirement against assets held by, deposits or other liabilities in or for the account of, advances or loans by, or any other acquisition of funds by any office of Bank; or
(C) impose on Bank any other condition; and the result of any of the foregoing is to increase the cost to Bank of making, renewing or of maintaining any LIBOR options hereunder and/or to reduce any amount receivable by Bank in connection therewith, then in any such case, Borrower shall pay to Bank immediately upon demand such amounts as may be necessary to compensate Bank for any additional costs incurred by Bank and/or reductions in amounts received by Bank which are attributable to such LIBOR options. In determining which costs incurred by Bank and/or and/of reductions in amounts received by Bank are attributable to any LIBOR options made available to Borrower hereunder, any reasonable allocation made by Bank among its operations shall be conclusive and binding upon Borrower.

(ii) 3.2 If any law, treaty, rule, regulation or determination of a court or governmental authority or any change therein or in the interpretation or application thereof (each, a "Change in Law") shall make it unlawful for Trade Bank (Ai) to make LIBOR options available hereunder, or (Bii) to maintain interest rates based on Bank's LIBOR, then in the former event, any obligation of Trade Bank to make available such unlawful LIBOR options shall immediately be cancelledcanceled, and in the latter event, any such unlawful LIBOR-based interest rates then outstanding shall be converted, at Trade Bank's option, so that interest on the portion of the outstanding principal balance subject thereto is determined in relation to the Prime Rate; provided however, that if any such Change in Law shall permit any LIBOR-based interest rates to remain in effect until the expiration of the Fixed Rate Term applicable thereto, then such permitted LIBOR-based interest rates shall continue in effect until the expiration of such Fixed Rate Term. Upon the occurrence of any of the foregoing events, Borrower shall pay to Trade Bank immediately upon demand such amounts as may be necessary to compensate Trade Bank for any fines, fees, charges, penalties or other costs incurred or payable by Trade Bank as a result thereof and which are attributable to any LIBOR options made available to Borrower hereunder, and any reasonable allocation made by Trade Bank among its operations shall be conclusive and binding upon Borrower.
(iii) 3.3 If any Change in Law or compliance by Trade Bank with any request or directive (whether or not having the force of law) from any central bank or other governmental authority shall:
(Aa) subject Trade Bank to any tax, duty or other charge with respect to any LIBOR options, or change the basis of taxation of payments to Trade Bank of principal, interest, fees or any other amount payable hereunder (except for changes in the rate of tax on the overall net income of Trade Bank); or
(Bb) impose, modify or hold applicable any reserve, special deposit, compulsory loan or similar requirement against assets held by, deposits or other liabilities in or for the account of, advances or loans by, or any other acquisition of funds by any office of Trade Bank; or
(Cc) impose on Trade Bank any other condition; and the result of any of the foregoing is to increase the cost to Trade Bank of making, renewing or maintaining any LIBOR options hereunder and/or to reduce any amount receivable by Trade Bank in connection therewith, then in any such case, Borrower shall pay to Trade Bank immediately upon demand such amounts as may be necessary to compensate Trade Bank for any additional costs incurred by Trade Bank and/or reductions in amounts received by Trade Bank which are attributable to such LIBOR options. In determining which costs incurred by Trade Bank and/or reductions in amounts received by Trade Bank are attributable to any LIBOR options made available to Borrower hereunder, any reasonable allocation made by Trade Bank among its operations shall be conclusive and binding upon Borrower.

Additional LIBOR Provisions. Notwithstanding anything to the contrary contained herein or in the Reducing Line of Credit Note:
(i) If Bank at any time determines in good faith (which determination shall determine be conclusive, absent manifest error) that (x) United States dollar deposits of sufficient amount and maturity for any advance hereunder are not available to Bank in the London Interbank Eurodollar market in the ordinary course of business or (y) by reason of circumstances affecting the London Interbank Eurodollar market, adequate and reasonable fair means do not exist for ascertaining LIBORthe LIBOR rate, then Bank shall promptly give notice thereof to Borrower. If such notice is given and until such notice has been withdrawn by Bank, then (A) no new LIBOR option may be selected by Borrower, and (B) any portion notify Borrower in writing of an alternate calculation of the outstanding principal balance hereof which bears interest determined LIBOR rate made in relation to LIBOR, subsequent to the end of the Fixed Rate Term applicable thereto, shall bear interest determined in relation to the Prime RateBank’s sole reasonable discretion.

(iii) If any Change in Law or compliance by Bank with any request or directive regulatory change (whether or not having the force of law) from any central bank or other governmental authority shall:
shall (A) impose, modify or deem applicable any assessment, reserve, special deposit or similar requirement against assets held by, or deposits in or for the account of, or loans by, or any other acquisition of funds or disbursements by, Bank; (B) subject Bank or any amounts advanced hereunder to any new or additional tax, duty duty, charge, stamp tax or other charge with respect to any LIBOR options, fee or change the basis of taxation of payments to Bank of principal, interest, fees principal or any other amount payable interest due from Borrower to Bank hereunder (except for changes other than a change in the rate taxation of tax on the overall net income of Bank); or
(B) impose, modify or hold applicable any reserve, special deposit, compulsory loan or similar requirement against assets held by, deposits or other liabilities in or for the account of, advances or loans by, or any other acquisition of funds by any office of Bank; or
(C) impose on Bank any other condition; new or additional condition regarding any amounts advanced hereunder, and Bank shall determine (which determination shall be conclusive, absent manifest error) that the result of any of the foregoing is to increase the cost to Bank of making, renewing making or maintaining any LIBOR options loans hereunder and/or or to reduce any the amount receivable of principal or interest received by Bank in connection therewithhereunder, then in any such case, Borrower shall pay to Bank immediately upon demand Bank, on written demand, such additional amounts as may be necessary Bank shall, from time to time in its sole reasonable discretion, -5- determine are sufficient to compensate and indemnify Bank for any additional costs incurred by Bank and/or reductions in amounts received by Bank such increased cost or reduced amount (which are attributable to such LIBOR options. (d) Bank will have no obligation to accept an election of Borrower for the LIBOR option if any of the following described events has occurred and is continuing:
(i) Dollar deposits in the principal amount, and for periods equal to the LIBOR Rate Term, of any portion of the Term Loan which bears interest in relation to the LIBOR Rate are not available in the Designated LIBOR Market; or
(ii) an Event of Default has occurred and is continuing; or
(iii) the LIBOR Rate does not accurately reflect the cost of any portion of the Term Loan which bears interest in relation to the LIBOR Rate.
