Common use of Additional Matters Clause in Contracts

Additional Matters. All corporate and other proceedings, and all documents, instruments and other legal matters in connection with the transactions contemplated by this Agreement and the other Loan Documents shall be satisfactory in form and substance to the Administrative Agent, and the Administrative Agent shall have received such other documents and legal opinions in respect of any aspect or consequence of the transactions contemplated hereby or thereby as it shall reasonably request. Each borrowing by the Borrower hereunder shall constitute a representation and warranty by the Borrower as of the date thereof that the conditions contained in this Section 4.2 have been satisfied with respect to the Borrower.

All corporate and other proceedings, and all documents, instruments and other legal matters in connection with the transactions contemplated by this Agreement and the other Loan Credit Documents shall be satisfactory in form and substance to the Administrative AgentAgents, and the Administrative Agent shall have received such other documents and legal opinions in respect of any aspect or consequence of the transactions contemplated hereby or thereby as it shall reasonably request. Each borrowing by by, and each Letter of Credit issued on behalf of, the Borrower hereunder shall constitute a representation and warranty by the Borrower as of the date thereof that the conditions contained in this Section 4.2 subsection have been satisfied with respect to the Borrowersatisfied.

All corporate and other proceedings, and all documents, instruments and other legal matters in connection with the transactions contemplated by this Agreement and Agreement, the other Loan Documents and the Acquisition shall be reasonably satisfactory in form and substance to the Administrative Agent, and the Administrative Agent shall have received such other documents and legal opinions in respect of any aspect or consequence of the transactions contemplated hereby or thereby as it shall reasonably request. Each borrowing by the Borrower hereunder and the issuance of the Letter of Credit on behalf of the Borrower hereunder shall constitute a representation and warranty by the Borrower as of the date thereof of such borrowing that the conditions contained in this Section 4.2 5.2 have been satisfied with respect to the Borrowersatisfied.

Additional Matters. All corporate and other proceedings, and all documents, instruments and other legal matters in connection with the transactions contemplated by this Agreement and the other Loan Documents shall be satisfactory in form and substance to the Administrative Agent, and the Administrative Agent shall have received such other documents and legal opinions in respect of any aspect or consequence of the transactions contemplated hereby or thereby as it shall reasonably request. Each borrowing by the a Borrower hereunder shall constitute a representation and warranty by the Company and such Borrower as of the date thereof of such Loan that the conditions contained in this Section 4.2 subsection 8.2 have been satisfied with respect to the Borrowersatisfied.

All corporate and other proceedings, proceedings and all documents, instruments and other legal matters in connection with the transactions contemplated by this Agreement and the other Loan Documents shall be satisfactory in form and substance to the Administrative Agent, and the Administrative Agent shall have received such other documents and legal opinions in respect of any aspect or consequence of the transactions contemplated hereby or thereby as it shall reasonably request. Each borrowing by the each Borrower hereunder shall constitute a representation and warranty by the Borrower both Borrowers as of the date thereof that the conditions contained in this Section 4.2 subsection have been satisfied with respect to the Borrowersatisfied.

Each borrowing by the Borrower hereunder Credit Event shall constitute a representation and warranty by the Borrower as of the date thereof of such Credit Event that the statements in any document delivered by the Borrower in connection with such borrowing are true and correct and that the conditions contained in this Section 4.2 have been satisfied with respect to the Borrowersatisfied.

Additional Matters. All corporate and other proceedings, and all documents, instruments and other legal matters in connection with the transactions contemplated by this Agreement and Agreement, the other Loan Documents and the Acquisition Documents shall be satisfactory in form and substance to the Administrative Agent, and the Administrative Agent shall have received such other documents and legal opinions in respect of any aspect or consequence of the transactions contemplated hereby or thereby as it shall reasonably request. Each borrowing by of Holdings or of the Borrower hereunder shall constitute a representation and warranty by Holdings and, from and after the Borrower effectiveness of the Assumption, the Borrower, as of the date thereof that the conditions contained in this Section 4.2 7.2 have been satisfied with respect to the Borrowersatisfied.

Additional Matters. All corporate and other proceedings, and all documents, instruments and other legal matters in connection with the transactions contemplated by this Agreement and the other Loan Documents shall be reasonably satisfactory in form and substance to the Administrative Agent, and the Administrative Agent shall have received such other documents and legal opinions in respect of any aspect or consequence of the transactions contemplated hereby or thereby as it shall reasonably request. Each borrowing by and Letter of Credit issued on behalf of the Borrower Company hereunder shall constitute a representation and warranty by the Borrower Company as of the date thereof that the conditions contained in this Section 4.2 subsection have been satisfied with respect to the Borrowersatisfied.
