Common use of Additional obligations on the Supplier Clause in Contracts

Additional obligations on the Supplier. (a) The Supplier agrees that it: (i) will not, during the term of the Agreement, enter or threaten to enter into bankruptcy, liquidation or any other form of insolvency, receivership or administration; (ii) and its employees, agents or representatives must not be guilty of fraud, dishonesty or any other serious misconduct; and (iii) will remain authorised by the Tasmanian Dairy Industry Authority or any other competent authority to perform its obligations under this Agreement, and will address any regulatory authority audit non-conformances within the nominated timeframe. (b) The Supplier also agrees that it: (i) and its affiliates will not be mentioned in media of any kind in connection with environmental breaches, product contamination or quality failures; and (ii) will comply with the Company's policies in Appendix 4 in performing under this Agreement, and will cooperate with the Company’s reasonable efforts to assess the Supplier’s compliance. (c) The parties agree that a breach of any of the obligations in paragraph (a) above is a material breach of this Agreement.
