Additional Offerings of Capital Shares. If the Board of Directors of the Company decides that the Company requires additional capital and seeks to raise the funds necessary to meet immediate and reasonable future needs of the Company by offering for sale additional capital shares and/or notes or other securities of the Company ("Securities"), the Board of Directors of the Company may in its absolute discretion determine the price and terms at which the Securities may be sold without offering the Securities to Purchaser.
