ADDITIONAL PARTIES DOCUMENTS Clause Samples
The 'Additional Parties Documents' clause establishes the requirement for certain documents to be provided or executed by parties other than the primary signatories to the agreement. In practice, this may involve affiliates, guarantors, or other related entities supplying consents, guarantees, or acknowledgments necessary for the contract’s effectiveness. This clause ensures that all relevant parties are properly bound or their involvement is documented, thereby reducing the risk of disputes or unenforceability due to missing documentation from key stakeholders.
ADDITIONAL PARTIES DOCUMENTS. Corporate Documents: Certified Organization Documents of each Additional Borrower or Additional Guarantor, and such certification of resolutions or other action and incumbency certificates of a Responsible Officer of each such Additional Borrower or Additional Guarantor as the Administrative Agent may reasonably require evidencing the identity, authority and capacity of each such Responsible Officer thereof to act as a Responsible Officer in connection with this Agreement and the other Loan Documents to which such Additional Borrower or Additional Guarantor will become a party.
