The Company agrees that prior to soliciting any offers for the consummation of the Proposed Event described in the Solicitation Notice from any parties that were not listed in the Solicitation Notice (“Additional Parties”), the Company will provide Google with written notice of such intent to solicit such offers from such Additional Parties.
