Additional Placement Agents Sample Clauses
Additional Placement Agents. The Company agrees that, during the term of this Agreement, any offer to sell, any solicitation of an offer to buy, or any sales of Securities or sales of Common Stock pursuant to any “at the market” offering as defined in Rule 415 of the Securities Act shall only be effected by or through the Placement Agent or an Alternative Placement Agent. Notwithstanding the foregoing or anything else herein to the contrary, nothing contained in this Agreement shall be construed to limit the Company’s ability to engage additional placement agents subsequent to the date hereof. The Company will notify the Placement Agent and the Alternative Placements Agents in the event that it engages one or more additional placement agents subsequent to the date hereof and Schedule A hereto shall be deemed to incorporate by reference the names of each of the placement agents (other than the Placement Agent) listed on Schedule A of the equity distribution agreements subsequently entered into by the Company and such additional placement agents.
Additional Placement Agents. With respect to the Banker shall be the lead placement agent with respect to the Current Offering. Each of Holdings and the Company acknowledge and accept the terms of that certain Sub-Agency Agreement dated as of even date of this letter, a copy of which is attached hereto. Under such Sub-Agency Agreement, P▇▇▇▇▇▇ Investment Company shall act as the agent of the Banker and be paid the fee described therein which shall reduce the fee otherwise payable to the Banker.
Additional Placement Agents. As set forth in the Confidential Private Offering Memorandum of the Fund (the "Offering Memorandum"), the Placement Agent and/or the Fund may, in their discretion, retain additional placement agents or sub-placement agents. As used herein, the term "Placement Agent" includes the Placement Agent, any such additional placement agents or sub-placement agents. Each such additional Placement Agent shall agree to be bound by the terms and conditions of this Agreement and such other agreements as the Fund and/or the Placement Agent deem appropriate.
