Additional Preferred Shares; Variable Securities Sample Clauses

The "Additional Preferred Shares; Variable Securities" clause governs the issuance of new preferred shares or securities whose terms may change based on certain conditions. It typically outlines the circumstances under which a company can issue additional preferred shares or variable securities, and may specify limitations, procedures, or required approvals for such issuances. For example, it might require shareholder consent before new preferred shares are created, or set caps on the number of variable securities that can be outstanding. The core function of this clause is to protect existing shareholders from dilution and to ensure transparency and fairness in the issuance of new securities that could affect ownership or control.
