(a) The Custodian hereby represents and warrants that the information set forth under the caption "Pooling and Servicing Agreement--General--Custodial Arrangements" (the "Custodian Disclosure") in the Preliminary Prospectus Supplement dated February 23, 2006 and the Final Prospectus Supplement dated, March 1, 2006, relating to the Certificates does not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
