Additional Rights; Taking of Necessary Action; Further Action. Each of Acquiror, MailKey, Shareholder and Sub shall use their best efforts to take all such action as may be necessary and appropriate to effectuate the Merger under the laws of the BVI and the DGCL as promptly as possible, including, without limitation, the filing of certificates of merger in Delaware and the BVI consistent with the terms of this Agreement. If at any time after the Effective Time, any further action is necessary or desirable to carry out the purposes of this Agreement, the officers of such corporations are fully authorized in the name of their corporations or otherwise, and notwithstanding the Merger, to take, and shall take, all lawful and necessary action.
