Common use of Additional Safeguards and Controls Clause in Contracts

Additional Safeguards and Controls. Supplier agrees that (a) Company’s Proprietary Information, and (b) any “Company Data”, “Company Restricted Data”, “Sensitive Personal Information” or “Controlled Data” (as such terms are defined in Schedule I) will be subject to the organizational, technical, and physical controls and other safeguards set out in Schedule I. If Supplier has access to Company Data, Company Restricted Data, Sensitive Personal Information or Controlled Data, or has access to a Company information system, Supplier agrees to apply such additional safeguards and to grant Company such additional rights as are set forth in Schedule I for such data. Notwithstanding anything contained herein to the contrary, to the extent that there is a conflict between any terms contained in this Agreement and those contained in Schedule I, the terms of Schedule I shall govern.
