Additional Servicer Duties. The Servicer shall: (a) maintain or cause to be maintained the books of ACOLT on a calendar year basis on the accrual method of accounting and in compliance with Section 3804(a) of the Statutory Trust Act with respect to the separate holding and accounting for the Lease Assets in the 2014-SN2 Series; (b) (i) on behalf of ACOLT, prepare and file all State, local and federal tax returns required to be filed by ACOLT, if any; (ii) send the Secured Noteholders any statements required by State or local tax law; (iii) send to the applicable ACOLT Certificateholder the statements required by federal tax law; and (iv) cause all taxes required to be paid by ACOLT under federal, State or local law to be paid (provided that the Servicer shall have no obligation to pay any taxes required to be paid by ACOLT other than taxes that are covered by the indemnification provided by the Servicer in Section 5.01(a)(i)); (c) on behalf of ACOLT and VAULT, obtain all licenses, permits and sales tax exemptions necessary for ACOLT and VAULT to conduct the activities contemplated by the ACOLT Transaction Documents; (d) take such actions as are necessary to assure that ACOLT is at all times in compliance with all applicable laws, rules, regulations and orders of all Governmental Authorities; (e) prepare and file all documents (if any) required to be filed by ACOLT under federal and State securities laws including, without limitation, any reports or other documents required to be filed by ACOLT pursuant to Section 7.3 of the ACOLT Indenture; (f) maintain all records relating to the Secured Notes, including all records relating to the issuance, ownership and payment of the Secured Notes; (g) exercise the rights and perform the obligations of the Servicer as are set forth in the Declaration of Trust and the ACOLT 2014-SN2 Supplement to the Declaration of Trust with respect to the ACOLT Certificates, including cooperating with the ACOLT Owner Trustee in enforcing compliance with the transfer restrictions applicable to the transfer and exchange of the ACOLT Certificates, making a determination as to whether such transfer or exchange complies with such transfer restrictions (or waiving compliance), preparing the ACOLT Certificates for execution and authentication by the ACOLT Owner Trustee upon initial issuance, transfer and exchange and providing the ACOLT Owner Trustee with written instructions as to the satisfaction of transfer restrictions with respect to the ACOLT Certificates; and (h...
