ADDITIONAL SUBLEASE RENTAL; NET SUBLEASE. In addition to the Subtenant's obligation for payment of the rent, additional rent and other charges under the Lease, as additional consideration to the Sublandlord for entering into this Sublease, the Subtenant hereby covenants and agrees to pay to the Sublandlord a fixed annual Rental of Forty-Two Thousand Dollars ($42,000). The Additional Sublease Rental shall be paid in equal monthly installment of Three Thousand Five Hundred Dollars ($3,500) per month in advance without demand, delay, set off or deduction of any nature or kind whatsoever on or before the fifth (5th) day of each month. A partial month's payment of the Additional Sublease Rental shall be due and payable on the Commencement Date if the Commencement Date is other than the first day of a month. The Additional Sublease Rental shall be paid to the Sublandlord at the address set forth in the Notice section of this Sublease and time shall be deemed of the essence with respect to such payments. This Sublease is and shall be deemed and construed to be an absolutely net Sublease and all payments to be made by the Subtenant pursuant to this Sublease shall be net to the Sublandlord in each year during the Term. Subtenant shall pay all costs, expenses and obligations of every kind whatsoever relating to the Leased Property and does hereby indemnify, defend and hold Sublandlord harmless of, from and against all such costs, expenses and obligations.
