Common use of Additional Titled Agents Clause in Contracts

Additional Titled Agents. Borrower, Agent and each Lender acknowledge that, except for rights and powers, if any, expressly reserved to any of the Administrative Agent, the Syndication Agent, any Co-Lead Arranger or any other titled agent named on the cover page of this Agreement, other than Agent (collectively, the "Additional Titled Agents"), and except for obligations, liabilities, duties and responsibilities, if any, expressly assumed by any Additional Titled Agent, no Additional Titled Agent, in such capacity, has any rights, powers, liabilities, duties or responsibilities hereunder or under any of the Loan Documents. Without limiting the foregoing, no Additional Titled Agent shall have nor be deemed to have a fiduciary relationship with any Lender. At any time that any Additional Titled Agent shall have transferred to any other Person (other than any Affiliates) all of its interests in the Loans and the Commitments, such Additional Titled Agent shall be deemed to have concurrently resigned as such Additional Titled Agent. No successor or replacement Additional Titled Agent shall be designated or elected to serve upon the resignation by any Person of its role as an Additional Titled Agent.

Without limiting the foregoing, no Additional Titled Agent shall have nor or be deemed to have a fiduciary relationship with any Lender. At any time that any Lender serving as an Additional Titled Agent shall have transferred to any other Person (other than in connection with any Affiliatesassignment which, pursuant to Section 12.6, does not require the consent of the Agent or any Borrower prior to the occurrence and continuance of an Event of Default) all of its interests in the Loans and in the CommitmentsRevolving Loan Commitment, such Additional Titled Agent Lender shall be deemed to have concurrently resigned as such Additional Titled Agent. No successor or replacement Additional Titled Agent shall be designated or elected to serve upon the resignation or deemed resignation by any Person of its role as an Additional Titled Agent.

At any time that any Lender serving as an Additional Titled Agent shall have transferred to any other Person (other than any Affiliates) all of its interests in the Loans and in the Commitments, such Additional Titled Agent Lender shall be deemed to have concurrently resigned as such Additional Titled Agent. No successor or replacement Additional Titled Agent shall be designated or elected to serve upon the resignation by any Person of its role as an Additional Titled Agent.

Without limiting the foregoing, no Additional Titled Agent shall have nor or be deemed to have a fiduciary relationship with any Lender. At any time that any Lender serving as an Additional Titled Agent shall have transferred to any other Person (other than in connection with any Affiliatesassignment which, pursuant to Section 12.6, does not require the consent of the Agent or any Borrower prior to the occurrence and continuance of an Event of Default) all of its interests in the Loans and in the CommitmentsRevolving Loan Commitment, such Additional Titled Agent Lender shall be deemed to have concurrently resigned as such Additional Titled Agent. No successor or replacement Additional Titled Agent shall be designated or elected to serve upon the resignation or deemed resignation by any Person of its role as an Additional Titled Agent.

Without limiting the foregoing, no Additional Titled Agent shall have nor be deemed to have a fiduciary relationship with any LenderLender or the LC Issuer, and each Lender and the LC Issuer acknowledges that it has not relied, and will not rely, on any of the Additional Titled Agents in deciding to enter into this Agreement or any other Loan Document or in taking or not taking any action hereunder or thereunder. At any time that any Lender serving as an Additional Titled Agent shall have transferred to any other Person (other than any Affiliates) all of its interests in the Loans and in the Commitments, such Additional Titled Agent Lender shall be deemed to have concurrently resigned as such Additional Titled Agent. No successor Administrative Agent reserves the right, upon consultation with Xxxxxxxx, to add or replacement change the Additional Titled Agent shall be designated or elected to serve upon the resignation by any Person of its role as an Additional Titled AgentAgents, including designating additional Joint Lead Arrangers.
