ADDITIONAL TRUSTS Clause Samples
The 'Additional Trusts' clause allows for the creation of new trusts in addition to the original trust established by the agreement. This provision typically outlines the circumstances under which new trusts can be formed, who has the authority to create them, and how assets may be allocated or transferred to these additional trusts. Its core practical function is to provide flexibility in estate or asset management, enabling the settlor or trustee to respond to changing circumstances or objectives by establishing new trusts as needed.
ADDITIONAL TRUSTS. In the event that a Trust establishes one or more trusts in addition to the Trusts listed on the attached Schedule A, with respect to which the Administrator desires to retain the Sub-Administrator to act as Sub-Administrator under the terms hereof, the Administrator shall notify the Sub-Administrator in writing. Upon written acceptance by the Sub-Administrator, such trust shall become a Trust hereunder and be bound by all terms and conditions and provisions hereof.
ADDITIONAL TRUSTS. The Sponsor may add additional Trusts to Schedule A (each, an “Additional Trust”), provided that: (i) each Additional Trust is listed on the same exchange as the Trust and sponsored by Canary Capital Group LLC, (ii) the Sponsor has the authority to enter into agreements on behalf of the Additional Trusts; (iii) the material terms and conditions applicable to any Additional Trust as they apply to this Agreement, including the Trust Agreement, Prospectus, and the Procedures, are substantially similar to those applicable to the Trust(s) identified herein; and (iv) the Sponsor provides at least fifteen (15) business days prior written notice to the Authorized Participant of the proposed addition of an Additional Trust in accordance with Section 17(c) of this Agreement.
ADDITIONAL TRUSTS. The terms of this Agreement shall not be altered, modified, amended or supplemented in any manner whatsoever except by a written instrument signed by P▇▇▇▇▇▇, the Sponsor, and such Trust(s) for which it is applicable. Any failure of any of the parties to comply with any obligation, covenant, agreement or condition herein may be waived by the party entitled to the benefits thereof but any such waiver, or the failure to insist upon strict compliance with any obligation, covenant, agreement or condition herein, shall not operate as a waiver of, or estoppel with respect to, any subsequent or other failure, without a written amendment of this Agreement.

If any management investment company in addition to those listed on Schedule A desires the Administrator to render services as administrator under the terms of this Agreement, the management investment company shall so notify the Administrator in writing. If the Administrator agrees in writing to provide the services, the management investment company shall become a Trust hereunder and be bound by all terms and conditions and provisions hereof including, without limitation, the representations and warranties set forth in Section 4 above.

In the event that any management investment company in addition to those listed on Schedule A hereto desires to have the Sub-Administrator render services under the terms hereof, the Administrator shall notify the Sub-Administrator in writing. Upon written acceptance by the Sub-Administrator, such investment company shall become a Trust hereunder and be bound by all terms and conditions and provisions hereof.
ADDITIONAL TRUSTS. In the event that any management investment company in addition to those listed on Appendix A hereto desires to have State Street render services as custodian under the terms hereof, it shall so notify State Street in writing, and if State Street agrees in writing to provide such services, such management investment company shall become a Trust hereunder and be bound by all terms and conditions and provisions hereof including, without limitation, the representations and warranties set forth in Section 16.11 below.
ADDITIONAL TRUSTS. In the event that any management investment company in addition to those listed on Schedule A desires to engage the Transfer Agent to render services as transfer agent under the terms hereof, it shall so notify the Transfer Agent in writing, and if the Transfer Agent agrees in writing to provide such services, such management investment company shall become a Trust hereunder.
ADDITIONAL TRUSTS. In the event that the Trust establishes one or more series of Shares in addition to The Basic Industries Select Sector SPDR Fund, The Consumer Services Select Sector SPDR Fund, The Consumer Staples Select Sector SPDR Fund, The Cyclical/Transportation Select Sector SPDR Fund, The Energy Select Sector SPDR Fund, The Financial Select Sector SPDR Fund, The Industrial Select Sector SPDR Fund, The Technology Select Sector SPDR Fund, and The Utilities Select Sector SPDR Fund with respect to which it desires to have the Custodian render services as custodian under the terms hereof, it shall so notify the Custodian in writing, and if the Custodian agrees in writing to provide such services, such series of Shares shall become a Fund hereunder.
ADDITIONAL TRUSTS. In the event that any entity in addition to those listed on Schedule A hereto desires to have the Transfer Agent render services as transfer agent under the terms hereof, it shall so notify the Transfer Agent in writing, and if the Transfer Agent agrees in writing to provide such services, which shall not be unreasonably withheld, such entity shall become a Trust hereunder and be bound by all terms and conditions and provisions hereof.
ADDITIONAL TRUSTS. If any management investment company in addition to those listed on Schedule A desires the Transfer Agent to render services under the terms of this Agreement, the management investment company shall so notify the Transfer Agent in writing. If the Transfer Agent agrees in writing to provide the services, the management investment company shall become a Trust hereunder and the Trust and the Transfer Agent (with respect to that Trust) will be bound by all terms and conditions and provisions hereof including, without limitation, the representations and warranties set forth in Section 4 above.
