Adequate Resources. Distributor has sufficient resources and experience to properly perform its obligations under this Agreement, and shall commit such resources to its obligations throughout the Term. None of Distributor's executive officers have any actual knowledge of any existing or forthcoming event that may materially adversely affect Distributor's ability or willingness to comply with its obligations under this Agreement.
