The Executive covenants and agrees to adhere to both the Code of Ethics and the Ixxxxxx Xxxxxxx Policy as may be amended from time to time. The Executive acknowledges that a material violation of either the Code of Ethics or the Ixxxxxx Xxxxxxx Policy would constitute a material breach of this Agreement.
