Adjustment and Settlement of Awards. Effective as of the Distribution Date, each 2004 Replacement Stock Option Plan Award shall be equitably adjusted to reflect the Remainco Conversion Formula. Each 2004 Replacement Stock Option Plan Award settled on and after the Distribution Date shall be settled in Remainco Common Stock or CDIs over Remainco Common Stock.
