Common use of Adjustment by Merger, Stock Split, Stock Dividend, Etc Clause in Contracts

Adjustment by Merger, Stock Split, Stock Dividend, Etc. If the Common Stock, as presently constituted, shall be changed into or exchanged for a different number or kind of shares of stock or other securities of the Company or of another corporation (whether by reason of merger, consolidation, recapitalization, reclassification, stock split, spinoff, combination of shares or otherwise), or if the number of such shares of stock shall be increased through the payment of a stock dividend, then there shall be substituted for or added to each share of Restricted Stock, the number and kind of shares of stock or other securities into which each outstanding share of Restricted Stock shall be so changed or for which each such share shall be exchanged or to which each such share shall be entitled, as the case may be.

If the Common Stock, as presently constituted, shall be changed into or exchanged for a different number or kind of shares of stock or other securities of the Company or of another corporation (whether by reason of reorganization, merger, consolidation, combination, repurchase, recapitalization, reclassificationliquidation, stock splitdissolution, spinoffor sale, combination transfer, exchange or other disposition of shares all or otherwisesubstantially all of the assets of the Company, or sale or exchange of Common Stock or other securities of the Company, issuance of warrants or other rights to purchase Common Stock or other securities of the Company, or other similar corporate transaction or event), or if the number of such shares of stock shall be increased through the payment of a stock dividenddividend or other distribution, then there shall be substituted for or added to each share of Restricted Stock, the number and kind of shares of stock or other securities into which each outstanding share of Restricted Stock shall be so changed or for which each such share shall be exchanged or to which each such share shall be entitled, as the case may be.

If the Common Stock, as presently constituted, shall be changed into or exchanged for a different number or kind of shares of stock or other securities of the Company Cimarex or of another corporation (whether by reason of merger, consolidation, recapitalization, reclassification, stock split, spinoffspin-off, combination of shares or otherwise), or if the number of such shares of stock Common Stock shall be increased through the payment of a stock dividend, or a dividend on the shares of Common Stock or rights or warrants to purchase securities of Cimarex shall be issued to holders of all outstanding Common Stock, then there shall be substituted for or added to each share of Restricted Stock, the number and kind of shares of stock or other securities into which each outstanding share of Restricted Common Stock shall be so changed or for which each such share shall be exchanged or to which each such share shall be entitled, as the case may be.

If Subject to the terms of the Deferral Plan, if the Common Stock, as presently constituted, shall be changed into or exchanged for a different number or kind of shares of stock or other securities of the Company or of another corporation (whether by reason of merger, consolidation, recapitalization, reclassification, stock split, spinoff, combination of shares or otherwise), or if the number of such shares of stock shall be increased through the payment of a stock dividend, then there shall be substituted for or added to each share of Restricted StockDeferred Share, the number and kind of shares of stock or other securities into which each outstanding share of Restricted Common Stock shall be so changed or for which each such share shall be exchanged or to which each such share shall be entitled, as the case may be.
