In the event of any change in the outstanding shares of Stock by reason of a stock dividend, recapitalization, merger, consolidation, split-up, combination, exchange of shares, or the like, the Company’s Compensation Committee shall appropriately adjust the number and kind of shares subject to the Options and the option price.
