Common use of ADJUSTMENT OF EXERCISE SHARES Clause in Contracts

ADJUSTMENT OF EXERCISE SHARES. Upon each adjustment of the Exercise Price pursuant to Section 5.1 or 5.4 hereof the number of Exercise Shares purchasable upon exercise of this Warrant shall be adjusted to the number of Exercise Shares, calculated to the nearest one-hundredth of a share, obtained by (i) multiplying the number of Exercise Shares purchasable immediately prior to such adjustment by the Exercise Price in effect prior to such adjustment, and (ii) dividing the product so obtained by the Exercise Price in effect after such adjustment of the Exercise Price.
