Common use of Adjustment of the Number of Option Shares Clause in Contracts

Adjustment of the Number of Option Shares. In the event of any Common Stock dividend, Common Stock split, recapitalization (including, but not limited to, the payment of an extraordinary dividend), merger, consolidation, combination, spin-off, distribution of assets to stockholders (other than ordinary cash dividends), exchange of shares, or other similar corporate change, the number of shares of Common Stock subject to your Options and the Exercise Price will be appropriately adjusted by the Committee as required by the Plan. The Committee's determination in this regard will be conclusive.
