ADJUSTMENT OF WARRANT PRICE UPON ISSUANCE OF OTHER SECURITIES. In the event Other Securities shall be issued or shall become subject to issuance upon the conversion of any shares (or Other Securities) of the Company for a consideration such as to diminish the aggregate fair market value of the Warrant Shares purchasable upon exercise of any Warrant, adjustments of the Warrant Price shall be made as nearly as possible in the manner provided in this Section 9 so as to maintain the aggregate fair market value of such Warrant Shares to the extent reasonably possible.

  • Adjustment of Exercise Price Upon Issuance of Additional Shares of Common Stock In the event the Company shall at any time after the Original Issue Date issue Additional Shares of Common Stock (including Additional Shares of Common Stock deemed to be issued pursuant to paragraph (c) above), without consideration or for a consideration per share less than the Exercise Price in effect on the date of and immediately prior to such issue, then and in such event, such Exercise Price shall be reduced, concurrently with such issue, to a price (calculated to the nearest cent) calculated as follows:

  • Adjustment of Warrant Price The price at which such shares of Warrant Stock may be purchased upon exercise of this Warrant shall be subject to adjustment from time to time as set forth in this Section 4.
