Common use of Adjustment to Number of Shares and Amount of Purchase Price Clause in Contracts

Adjustment to Number of Shares and Amount of Purchase Price. (a) Notwithstanding the provisions of Section 1.1, the number of Shares to be purchased by Investor pursuant to this Agreement and the Purchase Price shall be increased if Investor is required to purchase, or elects to purchase, additional shares of Common Stock pursuant to Article 12 of this Agreement or the provisions of Schedule 7.2(g) of the Agreement and Plan of Merger. In such event, then, for all purposes of this Agreement (other than as provided by the proviso at the end of this sentence), such additional shares shall be deemed to be "Shares" and the term "Purchase Price" shall include, and be increased by, the amount of the additional investment made by Investor as required or permitted by Article 12 of this Agreement or Schedule 7.2(g) of the Agreement and Plan of Merger; provided, however, that notwithstanding the foregoing the defined term "
