Adjustment to Purchase Price Payment. If the final adjustments ------------------------------------ reflect that Seller owes Purchaser or Purchaser owes Seller a refund or payment, respectively, such payment shall be made, plus interest at the Federal Funds Rate from the Closing Date to and including the date of payment. For the purpose of calculating the Purchase Price only, if Purchaser fails to notify Seller of its adjustment with such items within the Purchaser's review period as described in Section 2.2(D) of this Agreement, the parties hereto will be deemed to have agreed to the amount set forth in the Closing Statement prepared by Seller.
