Adjustment to Tax Basis. To the extent an adjustment to the adjusted tax basis of any Company asset is made pursuant to Code Sections 732, 734 or 743, the rules of Treasury Regulations Section 1.704-1(b)(2)(iv)(m) shall be taken into account in determining the Members’ Capital Accounts.
