Adjustment Upon Change of Shares. In the event of a reorganization, merger, consolidation, reclassification, recapitalization, combination or exchange of shares, stock split, stock dividend, rights offering or other events affecting the issued and outstanding shares of the Company, the Company may equitably adjust the number and class of the shares for which the Option may thereafter be exercised and/or the exercise price per share.
