Adjustment Upon Maturity. If this Note, or any portion thereof, remains outstanding upon the Maturity Date, then the Conversion Price shall be equal to the lower of the Conversion Price then in effect (taking into account the adjustments provided for above) or 70% of the average of the two (2) lowest daily volume-weighted average prices of the Common Stock for the fifteen (15) trading days prior to the Conversion Date.
