Common use of Adjustments to Aggregate Merger Consideration Clause in Contracts

Adjustments to Aggregate Merger Consideration. The Aggregate Merger Consideration shall be adjusted to reflect appropriately the effect of any stock split, reverse stock split, stock dividend, reorganization, recapitalization, reclassification, combination, exchange of shares or other like change with respect to WinVest Common Stock occurring on or after the date hereof and prior to the Xtribe Merger Effective Time.

Adjustments to Aggregate Merger Consideration. The Aggregate Merger Consideration shall be adjusted to reflect appropriately the effect of any stock split, reverse stock split, stock dividend, reorganization, recapitalization, reclassification, reissuance, combination, conversion, exchange of shares or other like change with respect to WinVest Common Stock or WinVest BVI Ordinary Shares (other than as a result of the Reincorporation Merger) occurring on or after the date hereof Original Execution Date and prior to the Xtribe Acquisition Merger Effective Time.

The Aggregate Merger Consideration shall be equitably adjusted to reflect appropriately the effect of any stock split, reverse stock split, stock dividenddividend (including any dividend or distribution of securities convertible into shares of Parent Common Stock), reorganization, recapitalization, reclassification, combination, merger, sale or exchange of shares or other like change with respect to WinVest shares of Parent Common Stock occurring on or after the date hereof and prior to the Xtribe Merger Effective Time.
